Freiberufler or Gewerbe

Freiberufler or Gewerbe? How Germany classifies developers, designers and consultants

You are a freelancer (Freiberufler) only if your work is on the list in § 18 EStG or closely similar to a listed profession; other self-employed work for profit is a trade (Gewerbe), with business registration and possibly trade tax. The tax office (Finanzamt) decides by looking at what you actually do, not at your job title or the word on your website. Being a sole proprietor (Einzelunternehmen) says nothing about this, as both groups can be sole proprietors.

What actually changes between the two

Registration

Gewerbe: a business registration (Gewerbeanmeldung) at the town office when you start (§ 14 GewO), and the town tells the tax office. Freiberufler: you tell the tax office directly, within one month (§ 138(1) and (4) AO).

Trade tax (Gewerbesteuer)

Gewerbe: due on profit above a €24,500 allowance for individuals (§ 11 GewStG). Freiberufler: none.

Books

Gewerbe: Anlage EÜR is fine until €800,000 revenue or €80,000 profit, then a balance sheet can be required (§ 141 AO). Freiberufler: Anlage EÜR at any size.

Chamber of commerce (IHK)

Gewerbe: automatic membership once assessed for trade tax (§ 2 IHKG). Small unregistered businesses are free of the fee up to €5,200 of trade income (§ 3(3) IHKG). Freiberufler: not a member unless entered in the commercial register.

Tax return

Gewerbe: Anlage G, plus a trade tax return if the trade income is above €24,500 (§ 25 GewStDV). Freiberufler: Anlage S. Line 8 of Anlage EÜR also differs (2 or 3).

VAT

The small business exemption works the same for both. A freelancer may apply to pay VAT when money arrives at any turnover. A trade may do so up to €800,000 (§ 20 UStG).

What the law says, in short

§ 18(1) no. 1 EStG covers work that is scientific, artistic, literary, teaching or educational. It also names professions such as doctors, lawyers, engineers, architects, tax advisors, consulting economists (beratende Volks- und Betriebswirte), journalists, interpreters and translators, plus „ähnliche Berufe“ (similar professions). If your work is similar to a listed one, you must match both its training level and the actual work.

Two more conditions apply. You work on your own responsibility, and if you use qualified staff, you still have to lead the work personally with your own expertise (§ 18(1) no. 1 sentence 3 EStG). A growing team where you only manage can therefore turn freelance income into trade income.

By occupation: the usual outcome

A guide to the reasoning, not a decision. Courts have decided many cases, and each case turns on its facts.

Software developer

Possible if the work is like an engineer's: analysis, architecture, developing and adapting systems, using knowledge equal to a computer science degree. With a degree in a matching field it is easier. Without one, the Federal Fiscal Court (BFH) has accepted a self-taught project leader whose knowledge matched a degree „in Breite und Tiefe“ (in breadth and depth), case VIII R 79/06. A Munich tax court refused a developer who could not show this (2 K 2146/10).

IT consultant, system administrator

An IT consultant who develops application software can be engineer-like (BFH XI R 9/03), and so can an engineer who administers networks and servers (BFH VIII R 31/07). Tax offices often treat IT work as a trade at first, so be ready to show your training and your tasks. Simple support, reselling or setup work points to a trade.

Graphic designer, web designer

Artistic means your own creative work with a certain creative level (Gestaltungshöhe), not just skilled execution (BFH IV R 1/97). Work for advertising can still qualify. Detailed client instructions that leave no room for your own creation point to a trade, and so do selling products or pure agency services. Web design is often split between design and technical implementation.

Business or marketing consultant

A consulting economist needs training at that level, and must advise on at least one main area of business administration: management, production, purchasing, finance, sales, accounting or personnel. Advice on a narrow topic may not meet this breadth test, and carrying out campaigns is not advice in itself.

Translator, journalist, teacher

Interpreters, translators and journalists are named in the law. Teaching is listed too.

Online shop, cleaner, kiosk, broker

Selling goods and most hands-on services are trades. There is no freelance route here, even for a very small business.

What the tax office looks at

  • Your questionnaire: the words you used on the tax registration questionnaire (Fragebogen zur steuerlichen Erfassung) under activity. Describe the real tasks, not a marketing title.
  • Proof of training: degree certificates, course lists, and for self-taught people, a record of the depth of your knowledge. Courts have used work samples and expert reports.
  • Your invoices and contracts: what you actually charge for. Selling licences or products is judged differently from delivering your own professional work.
  • How you work: your own responsibility, whether you are bound by detailed client instructions, and how much staff carry out the work.

Also note: the tax office and the town's trade office can come to different answers, because trade law and tax law do not use the terms in the same way. A letter from one does not bind the other in every case. That is one reason to keep your description the same in both places.

The Finanzamt rejected Freiberufler. What does it mean, and what now?

The word to look for is „gewerblich“, or „Einkünfte aus Gewerbebetrieb“ instead of „Einkünfte aus selbständiger Arbeit“.

  • Step 1, today: note the date of the letter. If it is a notice with a legal remedies section (Rechtsbehelfsbelehrung), you have one month from notification, which is normally the fourth day after posting (§ 122(2), § 355(1) AO). If it is only a question, answer by the date it gives.
  • Step 2, this week: gather your degree, your tasks and three or four typical invoices or work samples. Ask the office for its written reasons and try a direct conversation.
  • Step 3: if you received a trade tax base notice (Gewerbesteuermessbescheid), that is the one to object to, as the town's trade tax notice follows from it. An objection does not stop payment on its own, so ask for a suspension (Aussetzung der Vollziehung) if needed (§ 361 AO).
  • Step 4: if the office is right, register the trade, change Anlage S to Anlage G, and expect trade tax for the open years. The IHK may contact you afterwards.
  • Step 5: this is the moment for a tax advisor (Steuerberater) or a tax lawyer, especially with several years at stake. Classification depends on case law, and the software cannot argue this for you.

If you do nothing, the classification stands, and the deadline for the objection ends. You still owe the tax that follows.

What it costs, for a worked example. Your trade income is €80,000. After the €24,500 allowance, €55,500 remains, and 3.5% of it gives a base amount (Messbetrag) of about €1,942. With a municipal multiplier (Hebesatz) of 410%, trade tax is about €7,964. Income tax then falls by four times the base amount, about €7,770 (§ 35 EStG), if your income tax is high enough for the full credit. The real extra cost is about €194 a year. With a multiplier of 490%, trade tax is about €9,518 and the extra cost about €1,748. So the tax difference is often smaller than people fear. The bigger issues are several back years at once, interest, the IHK fee and the change of bookkeeping rules.

The Abfärbung trap (§ 15(3) no. 1 EStG)

Abfärbung literally means colouring off. If a partnership (for example a GbR of two developers) does any trade activity at all, then all of its income counts as trade income, including the freelance part. The BFH has set a tolerance in case VIII R 6/12: the trade part must stay at no more than 3% of total net turnover and no more than €24,500 in the year. Above that, the whole partnership is treated as a trade.

This rule is written for partnerships. If you work alone, you can generally have two separate activities, one freelance and one a trade, as long as they can be separated. Keep separate invoices, separate accounts and two Anlage EÜR forms. Problems arise when the parts are so closely tied together that they count as one activity, for example when you sell a product that includes your own consulting. Then the character of the whole decides.

Common examples: a designer who also sells prints or merchandise, a developer who resells hosting, a consultant who earns referral commission. A separate company for the trade side can be an answer for partnerships, but this is a structuring question to discuss with a tax advisor. A GmbH or UG is always a trade for trade tax, whatever it does (§ 2(2) GewStG).

How our software fits in

The tax registration interview takes a description of your work and can suggest a classification with a short reason and a reference to § 18 EStG. The suggestion can also be „unclear“, and then it asks a follow-up question. The choice remains yours, and the tax office makes the final decision, so this gives no guarantee. Completing the interview is free. Sending it costs €35 once, either with your own ELSTER certificate or with a formal check and submission by Jahresabschluss.io.

Later, Anlage EÜR, Anlage S or G and the trade tax return use the same classification. A trade tax return can be sent directly for €50, or it is included for one tax year in the €99 monthly EÜR subscription. The tax office section can send an objection (Einspruch) as an ELSTER message, but the argument on classification is yours or your advisor's. The software gives no individual tax or legal advice (StBerG).

Frequently asked questions

Am I a Freiberufler as a software developer without a degree?

It is possible but harder. You have to show knowledge comparable to a computer science graduate in breadth and depth, and do engineer-like work. Keep records of projects, courses and exams. Courts have accepted this and also refused it.

Finanzamt rejected my Freiberufler status. Do I have to pay back taxes?

If a notice stands, trade tax can apply to open years. The credit against income tax reduces much of it, but not always all. Check the one-month objection period first, then speak to a tax advisor if several years are involved.

What does sole proprietorship mean in Germany?

Einzelunternehmen means you run the business alone, in your own name, with no separate company. A freelancer and a small trader are both usually sole proprietors. A registered sole trader is an e.K., and a freelancer cannot be one.

Can I be both Freiberufler and Gewerbe?

Yes, as one person, if the activities can be separated. You then file two Anlage EÜR forms and both Anlage S and Anlage G. For VAT they still count as one business, so the small business limits apply to the total.

Should I just register a Gewerbe to be safe?

Do not register a trade only for safety. It brings IHK membership, and the office may then treat your income as trade income. If you are honestly unsure, describe your work clearly on the questionnaire and ask the office or a tax advisor.

Does it matter if my income is below €24,500?

For trade tax, less so: below the allowance there is none, and no trade tax return is normally needed. The classification still decides Anlage S or G and the rules on bookkeeping. It matters more as your income grows.
