What a Jahresabschluss consists of

Every German GmbH, UG or AG must prepare statutory annual financial statements under the German Commercial Code (HGB): a balance sheet (Bilanz), an income statement (GuV) and notes (Anhang). Medium-sized and large corporations add a management report (Lagebericht). The documents must be prepared in German and in euros (Section 244 HGB) and filed with the German Company Register within twelve months.

Size classes decide how much you must do

Micro (up to EUR 450,000 balance sheet total), small (up to EUR 7.5m), medium-sized (up to EUR 25m) and large corporations face increasing preparation, audit and disclosure duties. Micro and small companies — the vast majority — need no audit and file only reduced documents.
