Adoption of the annual accounts
Feststellung des Jahresabschlusses in English: who prepares, who adopts, who signs
Feststellung (adoption) is the shareholders' decision that makes a GmbH's or UG's annual accounts binding. The managing directors prepare the accounts, the shareholders adopt them by resolution, and then all managing directors sign with the date. A small or micro company must decide within 11 months of the year-end, a larger one within 8 (§ 42a(2) GmbHG), and the articles cannot extend this.

Five steps, and who is responsible for each
Dates are for the 2025 financial year, ending 31 December 2025.
Aufstellung (preparation)
Managing directors. By 31 March 2026 for medium and large companies. By 30 June 2026 for small and micro companies, if that fits orderly business (§ 264(1) HGB).
Vorlage (presentation)
Managing directors give the accounts to the shareholders “unverzüglich” (without undue delay) after preparation, with the audit report if the company is audited (§ 42a(1) GmbHG).
Feststellung (adoption)
Shareholders. They also decide on the use of the result (§ 46 no. 1 GmbHG). By 31 August 2026 for medium and large companies, by 30 November 2026 for small and micro. A company that must be audited cannot adopt without the audit (§ 316(1) HGB).
Unterzeichnung (signature)
All managing directors, with the date (§ 245 HGB). Not the shareholders in that role, and not the tax advisor. See below for the debate.
Offenlegung (Company Register filing)
Managing directors, by 31 December 2026 (§ 325 HGB). What must be filed is the adopted version, and the adoption date must be stated (§ 328(1a) HGB).
Who signs? What the text says, and why sources differ
§ 245 HGB reads: “Der Jahresabschluß ist vom Kaufmann unter Angabe des Datums zu unterzeichnen. Sind mehrere persönlich haftende Gesellschafter vorhanden, so haben sie alle zu unterzeichnen.” In English: the merchant signs and dates the annual accounts, and if there are several personally liable partners, all of them sign. The text does not mention a GmbH or managing directors. That gap is why sources disagree. Some websites quote wording that is not in the law.
The working answer comes from legal commentary. The German Notary Institute (DNotI-Report 22/2024) states: “Im Anschluss an die Feststellung müssen sämtliche Geschäftsführer einer GmbH den Jahresabschluss unterzeichnen” (after adoption, all managing directors of a GmbH must sign). It calls this a personal duty (“höchstpersönlich”) that a director cannot hand to someone else. By § 44 GmbHG, rules for managing directors also apply to deputy managing directors. Some online guides say one director is enough if that director has sole power of representation, but we follow the stricter reading, because it costs one more signature and removes the risk.
Timing also differs. The DNotI places the signature after adoption. Other authors call it the last act of preparation. Practical approach: sign the final version after adoption, and if the shareholders change any figure, sign the changed version. One signature on the last page is enough, if the parts are bound so that later separation would show.
“Annual general meeting” of a GmbH: what is actually required
The GmbHG requires a decision, not a particular kind of event. Your articles may set stricter rules, so read them first.
Meeting (Gesellschafterversammlung)
Called by the managing directors by registered letter, at least one week ahead, with the purpose stated (§§ 49, 51 GmbHG). If all shareholders attend, defects in the invitation do not matter.
Phone or video
Allowed if all shareholders agree in text form (§ 48(1) GmbHG). An e-mail can be text form.
No meeting: written procedure (Umlaufverfahren)
Allowed if all shareholders agree in text form, either to the decision itself or to voting in text form (§ 48(2) GmbHG). This is the normal route for small companies.
One shareholder
The shareholder must write a minute (Niederschrift) “unverzüglich nach der Beschlußfassung” (right after deciding) and sign it (§ 48(3) GmbHG). No invitation, no meeting.
Votes: one vote per euro of share, simple majority of votes cast (§ 47(1) and (2) GmbHG). A proxy needs text form (§ 47(3)). A shareholder may not vote on their own discharge (Entlastung, § 47(4)), so in a company of two shareholder-directors each abstains on their own point. If the accounts show that half the share capital is lost, the directors must call a meeting without delay (§ 49(3)).
An AG works differently: if the supervisory board approves the accounts, they are adopted (§ 172 AktG), and the shareholders' meeting normally does not adopt them. A cooperative adopts at its general meeting in the first six months (§ 48 GenG).
Sole foreign shareholder: worked example
A UK Ltd holds 100 percent of a German UG. The accounts for 2025 are small-size, and the UG's managing director lives in London. On 12 November 2026 the Ltd decides to adopt. A director of the Ltd with authority to act for it signs the minute in the Ltd's name, the same day. § 48 GmbHG asks for no notary and no apostille for this decision. Keep evidence of who was entitled to sign for the Ltd.
The UG's managing director then signs and dates the adopted accounts. If the same person holds both roles, that person signs twice, once for each role. After that, the UG files before 31 December 2026, stating 12 November 2026 as the adoption date.
Language: § 48 GmbHG has no language rule for the minute, but the accounts themselves must be in German (§ 244 HGB). A two-language minute helps auditors and banks. For a UG, remember the reserve: a quarter of the profit, less any loss brought forward, goes to the legal reserve (§ 5a(3) GmbHG), so it cannot be paid out.
Signing from abroad on paper: post the signed original to wherever the records are kept. § 257(3) HGB excludes annual accounts from the rule that allows image copies, so for paper a scan does not replace the signed original. Keep it for ten years (§ 257(4) HGB).
Template: resolution of a sole shareholder
A starting point, not legal advice. Use the German text as the binding version. Change it if your articles or your facts differ.
English: Minutes of the resolution of the sole shareholder of [company] GmbH, [seat], commercial register of the local court of [place], [HRB number]. The sole shareholder is [name], shares with a nominal amount of EUR [amount]. The sole shareholder resolves: 1. The annual accounts as at [date] are adopted as presented. 2. The net profit of EUR [amount] is carried forward. [Or: EUR [amount] is paid out to the shareholder.] 3. The management is granted discharge for the financial year. [Place], [date]. Signature of the shareholder.
(Waiving a meeting, all shareholders agree in text form to this resolution under § 48(2) GmbHG.) All shareholders then sign or confirm. A payout has limits (§ 30 GmbHG) and starts withholding tax duties, so check these first.
Can the Jahresabschluss be signed electronically?
This has three levels. Read them separately. First, the accounts under § 245 HGB: the DNotI report treats this as written form under § 126 BGB. Under § 126(3) and § 126a BGB, a qualified electronic signature (QES) can replace written form, and it sees no legal rule against this for the accounts. It also says a QES-signed PDF can be stored on a data carrier under § 257(3) HGB. So an ordinary click-to-sign tool or a typed name is not enough by this view.
Second, the shareholders' consent under § 48(2) GmbHG: text form is enough (§ 126b BGB), so an e-mail or simple e-signature can carry it. Third, the sole shareholder's minute under § 48(3): the law says “unterschreiben” (sign). Use paper or a QES until your adviser says otherwise.
Limits of this answer: the DNotI report is an opinion in a commercial register case, not a court ruling. Your auditor, bank or register court may have their own requirements. If much depends on this, ask a lawyer or Steuerberater first.
What happens if you skip or delay adoption
Filing does not wait. § 335(1) HGB says a missing earlier step does not stop fine proceedings, and the Federal Office of Justice writes that proceedings run if the accounts are not yet adopted and that provisional accounts do not meet the duty. See our page on the Androhung letter if one has arrived. Without adoption you also have no valid basis for a profit distribution.
What our software does here, and what it does not
The annual accounts module asks for the date and place of adoption and the signatories under § 245 HGB, with directors pre-filled from your company data. It carries the adoption date into the disclosure file. The interface is available in English, and the statements stay German. First annual accounts are free, once per account; after that EUR 250 micro, EUR 500 small, EUR 2,500 medium, EUR 5,000 large.
For the resolution, a free German generator produces the text for a GmbH or UG, including the UG reserve. The Beschluss module (EUR 50 per month, 7 days free) drafts shareholder resolutions, including adoption, use of profit, discharge and the written procedure, and keeps them as PDF in an archive. The e-signature module (EUR 49 per month, 7 days free) provides simple and advanced electronic signatures. It does not provide a QES. So it can help collect shareholders' agreement in text form, but it does not meet written form for the § 245 signature under the view above.
We do not hold your meeting, we do not check your articles, and we give no legal advice. For several shareholders with a dispute, or a distribution near the limits of § 30 GmbHG, use a lawyer or Steuerberater.
Frequently asked questions
We have two managing directors and one is abroad. Do both sign?
Yes, on the reading we follow, even if one handles finance alone. Plan post or a qualified electronic signature early, because this is a personal duty that a power of attorney does not cover.
Can our Steuerberater sign the accounts for us?
No. A tax advisor may sign their own report on preparing the accounts, but the § 245 HGB signature belongs to the management. The adoption belongs to the shareholders.
I am sole shareholder and managing director of my UG. Do I really need a resolution?
Yes. Write the short minute and sign it, then sign the accounts. It takes ten minutes, and the filing needs an adoption date that matches it.
Is an annual general meeting required for a GmbH?
Not as a physical event. A decision on adoption and use of profit is required within 8 or 11 months. With all shareholders agreeing in text form, it can happen with no meeting at all.
We missed the 30 November date. Is the adoption invalid?
Adopt now. § 42a GmbHG does not say a late resolution is invalid, but the 12-month filing date still applies, and a late filing leads to a fine procedure. Check your articles and take advice if shareholders disagree.
Do shareholders need to be in Germany or use a notary?
§ 48 GmbHG asks for neither for this decision. Notary form is for other matters, such as amending the articles. A foreign company acts through whoever may represent it, so keep proof.
